How this document applies
This page does not replace transaction-specific documents. A formal quotation, order confirmation, sales contract, technical agreement, or signed amendment takes priority where it differs from this page.
1. Acceptance and scope
By accessing or using this website, you agree to these terms and the applicable privacy, delivery, and returns policies. If you act for a company or organization, you confirm that you can bind it to those terms.
The site primarily serves research, industrial, and other professional purchasing. Additional terms can apply by country, customer, product, or project. Customer terms, exceptions, or amendments bind XINDA only when accepted in writing.
2. Accounts and authorized use
Provide accurate and current account, contact, billing, and shipping information and protect your credentials. Activity through your account is treated as authorized until you notify us of suspected misuse.
- Do not share passwords, impersonate others, or bypass access controls.
- Purchasers must be authorized to act for the named business or institution.
- Report unauthorized access, unusual orders, or suspected disclosure promptly.
- We may suspend an account to protect customers, the site, or legal compliance.
3. Catalog, specifications, and selection
Images, drawings, specifications, compatibility notes, stock, price, and examples support preliminary selection. Product changes, supply, measurement methods, page updates, displays, and production batches can cause differences.
Before ordering, confirm the model, quantity, interface, dimensions, tolerances, environment, regulatory requirements, and intended use. Safety-critical, medical, aerospace, nuclear, or other high-risk uses must be disclosed and accepted in writing; website content is not system-design certification.
Formal quotations, order confirmations, approved drawings, and technical agreements take priority over general catalog content.
4. Requests, quotes, and order formation
A request for quote, BOM, cart, or purchase order expresses intent to buy but is not our acceptance. Unless an online transaction is expressly immediate, an order forms when we issue written confirmation or begin performance.
- A quotation applies only to the listed products, quantities, currency, validity, lead time, and commercial terms.
- New or conflicting customer purchase-order terms do not apply merely because we receive a document or ship.
- Orders requiring technical freeze, sample approval, or advance payment do not enter committed lead time until those conditions are met.
- We may reject incomplete, infeasible, non-compliant, or obviously erroneous requests before formation.
We will seek to correct clear pricing, specification, stock, or calculation errors. The customer may accept the correction or cancel the unperformed affected portion.
5. Pricing, taxes, and payment
Unless an order document says otherwise, website and quoted prices exclude freight, insurance, duties, import costs, and customer-borne taxes. Currency, payment milestones, account details, and credit terms follow the formal quotation, invoice, or confirmation.
- Online payments use only the provider displayed on the payment page and depend on its authorization.
- Bank fees, exchange differences, and intermediary charges follow the transaction documents or payment route.
- We may pause production, delivery, or account access for overdue, reversed, or suspicious payments.
- Use payment instructions only from formal documents or verified channels and independently verify unusual changes.
6. Delivery, returns, and title
Lead times are estimates unless a specific order makes them firm in writing. Shipping, risk, title, partial delivery, cancellation, RMA, repair, return, and refund are governed by the order documents and our Delivery & Returns Policy.
Customers must provide accurate shipping, customs, and import information and reasonably inspect goods on receipt. The responsible party bears delays and charges caused by late confirmation, changed requirements, late payment, or incorrect data.
7. Customer responsibilities and integration
The customer must assess suitability for its system, process, and environment and follow product documents, ratings, and safety requirements. Unless agreed in writing, we do not design the overall customer system, certify it, or guarantee final compatibility with third-party equipment.
- Do not exceed ratings, make unauthorized modifications, remove safety devices, or break seals.
- Qualified personnel should install, calibrate, maintain, and assess risk.
- Keep necessary batch, serial, calibration, and maintenance records.
- Issues arising from customer-supplied drawings, specifications, or materials follow the specific contract.
8. Intellectual property and technical materials
Intellectual property in the site, marks, text, images, drawings, models, software, data sheets, and technical materials belongs to its lawful owner. Buying a product does not transfer design, software, or manufacturing IP.
Public technical materials may be used reasonably for internal selection, procurement, installation, and maintenance. Unauthorized bulk extraction, republication, removal of notices, misleading use, or reverse engineering of protected non-public manufacturing information is prohibited. Separate software and third-party licenses may apply.
9. Reviews and submitted content
You retain rights in lawful reviews, images, BOMs, drawings, and other materials, while allowing us to process them as needed to respond, moderate, provide service, and maintain records. You confirm that you may submit them without infringing rights or confidentiality obligations.
Reviews are moderated before publication. We may hide or remove unlawful, misleading, infringing, sensitive, spam, or irrelevant content. Do not put order numbers, contact details, or confidential drawings in a public review.
10. Prohibited conduct
- Violating law, sanctions, export controls, or third-party rights.
- Testing, bypassing, or damaging authentication, security, rate limits, or infrastructure.
- Uploading malicious code or conducting fraud, attacks, spam requests, or false transactions.
- Bulk scraping without permission or imposing unreasonable load.
- Impersonation, source falsification, or misleading use of site and product information.
11. Trade and export compliance
Products, software, or technical materials may be subject to export controls, sanctions, import rules, anti-bribery requirements, or end-use restrictions. Customers must provide accurate entity, destination, end-user, and end-use information and must not transfer restricted items to prohibited parties, places, or uses.
We may request compliance documents, pause review, or reject a transaction that cannot lawfully proceed. The order assigns responsibility for licenses or approvals, and affected lead times extend until approvals are obtained.
12. Warranty, disclaimers, and liability
Warranty periods and remedies follow the product documents, quotation, confirmation, or sales contract. Except for written commitments and rights that law does not permit us to exclude, the website and catalog are provided as available, without a promise of uninterrupted operation or suitability of general material for a particular system.
To the extent permitted by law, indirect, incidental, punitive, consequential, and aggregate liability limits follow the transaction documents. Nothing excludes liability that cannot lawfully be excluded. Misuse, unauthorized modification, normal wear, external events, and improper integration are not manufacturing defects.
13. Force majeure, changes, and disputes
A party is not responsible, to the extent permitted by law, for delay caused by events beyond reasonable control, including natural disasters, public-health events, war, sanctions, government action, major transport disruption, network or energy failure, and critical supply shortage, but should notify the other party and reasonably mitigate impact.
We may update these terms for service, technology, or legal changes and will show the new version and effective date. Updates generally apply prospectively and do not independently amend an existing order.
Governing law, forum, and dispute resolution for a transaction follow the formal quotation, order confirmation, or signed contract. Parties should first negotiate in good faith using order, technical, and communication records. If one provision is invalid, the remainder continues where lawful.
